Introduction
Welcome to nVariant ("Company", "we", "our", "us")! These Terms of Service ("Terms", "Terms of Service") govern your use of our web pages located at https://www.nvariant.ai/ and the interactive product demo platform and related services provided by nVariant.
By accessing https://www.nvariant.ai/ or using our Services, you agree to be bound by these Terms and comply with all applicable laws and regulations. If you do not agree with these Terms, you are prohibited from using or accessing our Services.
We reserve the right to modify these Terms at our sole discretion. Material changes will be communicated via email with advance notice. Continued use of the Services after the effective date constitutes acceptance of the modified Terms.
Definitions
The following definitions apply throughout these Terms:
"Account" means your nVariant account created through registration
"Authorized Users" means individuals authorized by Customer to access the Services under Customer's Account
"Customer Content" means all content, demos, data, and materials uploaded, created, or transmitted through the Services
"Documentation" means our user guides, help center, and technical documentation
"Services" means nVariant's interactive product demo platform, including web application, API, and browser extension access
"Subscription Term" means the period during which you have access to paid Services
Account Registration
To access our Services, you must create an Account. You represent and warrant that:
You are at least 18 years old and have the legal capacity to enter into these Terms
For business accounts, you have the authority to bind your organization to these Terms
All registration information you provide is accurate, current, and complete
You will maintain the security of your Account credentials and promptly notify us of any unauthorized use
You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password.
Communications
By creating an Account on our Service, you agree to receive transactional communications related to your Account, such as account verification, password resets, member invitations, and service notifications.
Access Grant and License
Subject to these Terms and your compliance with them, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right during your Subscription Term to access and use the Services for your internal business purposes in accordance with the Documentation. Software components may be updated as part of regular platform releases.
Usage Limitations and Prohibited Uses
By using our Services, you agree not to:
Modify, copy, prepare derivative works of, decompile, or reverse engineer any part of the Services
Remove any copyright, trademark, or other proprietary notices
Transfer, sublicense, or distribute the Services to unauthorized parties
Abuse, disrupt, or attempt to circumvent our networks or security measures
Use the Services to transmit harmful, illegal, fraudulent, or inappropriate content
Violate any applicable laws, regulations, or third-party rights
Send unauthorized advertising, spam, or bulk communications
Harvest user data without consent or engage in unauthorized data collection
Use the Services for competitive analysis, benchmarking, or building competing products
Engage in any activity that seeks to test, scan, probe, or circumvent the security or authentication measures of the Service
We reserve the right to suspend or terminate your access to the Service if you engage in activities that violate this Agreement.
Platform Access and User Management
Each Authorized User license is for a designated individual and cannot be shared, but may be reassigned to new users. You are responsible for:
Ensuring all Authorized Users comply with these Terms
Managing user access, roles, and permissions within your Account
Maintaining the security of all user credentials
Promptly notifying us of any Terms violations by your users
Your usage is subject to plan-based limitations including seats, projects, storage, and AI features. We reserve the right to enforce fair use policies and suspend access for abuse or non-payment.
Free Trial
nVariant may offer a free trial period for certain subscription plans. If you have not added a payment method, your account will not automatically convert to a paid subscription at the end of the trial, you must actively select and purchase a plan to continue accessing paid features, and your account will revert to the free tier with limited functionality. If you have added a valid payment method during the trial, your subscription will automatically begin at the end of the trial period and you will be billed accordingly unless you cancel before the trial ends.
Subscriptions
Some parts of Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.
At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or nVariant cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting nVariant customer support team.
A valid payment method, including credit card, is required to process the payment for your subscription. You shall provide nVariant with accurate and complete billing information. By submitting such payment information, you automatically authorize nVariant to charge all Subscription fees incurred through your account to any such payment instruments.
If your Subscription is based on a per-seat model, the total Subscription fees may vary depending on the number of users (seats) associated with your account. Adding or removing users during a Billing Cycle may result in a corresponding adjustment to the Subscription fees.
Fee Changes
nVariant, in its sole discretion and at any time, may modify Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.
nVariant will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.
Your continued use of Service after Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
Taxes
You are responsible for all applicable taxes. Late payments may incur finance charges, and we may suspend Services for payment delinquency.
Refunds
You may request a full refund within 14 days of your initial subscription purchase. After the 14-day period, we generally do not provide refunds except as required by law or as specified in enterprise agreements.
Customer Content and Intellectual Property
Your Ownership: You retain all intellectual property rights in Customer Content. We do not claim ownership of your demos or content.
License to Us: You grant us a limited license to host, process, transmit, and display Customer Content solely to provide the Services, including:
Technical processing required for Service operation
Generating aggregated, de-identified analytics
Creating thumbnails and technical artifacts
Enabling sharing features you configure
Processing content through third-party AI services to generate derivative features such as guides, documentation, voiceovers, content enhancement, and other AI-powered functionality
Public Sharing: Content shared publicly or via embedding is accessible to anyone with the public link. You control sharing permissions through workspace and demo-level settings.
nVariant has the right but not the obligation to monitor and edit all Content provided by users.
Company Intellectual Property
Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of nVariant and its licensors. Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of nVariant.
Feedback
You may provide us with information and feedback concerning errors, suggestions for improvements, ideas, problems, complaints, and other matters related to our Service ("Feedback"). You acknowledge and agree that: (i) you shall not retain, acquire or assert any intellectual property right or other right, title or interest in or to the Feedback; (ii) Company may have development ideas similar to the Feedback; (iii) Feedback does not contain confidential information or proprietary information from you or any third party; and (iv) Company is not under any obligation of confidentiality with respect to the Feedback.
AI Features and Disclaimers
Our Services include optional AI-powered features such as guide generation, content enhancement, and text-to-speech voiceovers. By using these features:
No Training: We do not use Customer Content to train AI models
"AS IS" Basis: AI-generated outputs may be inaccurate and require human review
User Responsibility: You are responsible for reviewing and approving all AI-generated outputs before use
Third-Party Processing: AI features are powered by third-party AI service providers, and your content may be transmitted to these providers solely for processing your request
Third-Party Services
Third-party integrations, plugins, and external services are not part of our Services. You use them at your own risk under separate terms, and we are not responsible for their content, functionality, or data handling.
Our Service may contain links to third party web sites or services that are not owned or controlled by nVariant. nVariant has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third party web sites or services.
Service Availability
We are committed to providing reliable and consistent access to our Services. Occasional maintenance, updates, and improvements may be necessary to ensure the best experience, and we aim to minimize any disruption during these periods.
While we work to keep the Services available at all times, we cannot guarantee uninterrupted access and may need to make changes to features or materials from time to time.
Confidentiality
Both parties agree to maintain confidentiality of non-public information exchanged in connection with these Terms, subject to standard exclusions for publicly available information, independently developed information, and legally compelled disclosures.
Indemnification
You agree to indemnify and hold us harmless from claims arising from:
Your Customer Content or use of the Services
Violation of these Terms or applicable laws
Third-party claims related to your sharing or distribution of content
Unauthorized combinations or modifications of the Services
Disclaimer of Warranty
We provide our Services on an "as is" and "as available" basis and do our best to deliver a reliable, high-quality experience. However, we cannot make specific guarantees about the completeness, security, reliability, accuracy, or uninterrupted availability of the Services.
By using our Services, you acknowledge that your use is at your own discretion and risk. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
Neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability will not exceed the amounts paid by you for the Services in the 12 months preceding the claim.
Some jurisdictions do not allow these limitations, so they may not apply to you.
Suspension and Termination
Suspension: We may suspend access for security risks, Terms violations, non-payment, or abusive behavior.
Termination: We may terminate or suspend your account and bar access to Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of Terms.
Either party may terminate for material breach with 30 days cure period. You may cancel monthly subscriptions anytime (effective next billing period) or annual subscriptions with advance notice (effective at renewal).
If you wish to terminate your account, you may simply discontinue using Service.
Upon termination, Customer Content may be retained for a limited period before deletion according to our data retention policies.
All provisions of Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
Governing Law
These Terms shall be governed and construed in accordance with the laws of India without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding Service.
Amendments to Terms
We may amend Terms at any time by posting the amended terms on this site. It is your responsibility to review these Terms periodically.
Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use Service.
Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
Force Majeure
Neither party will be liable for any delay or failure to perform obligations under these Terms due to circumstances beyond reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, or pandemic.
Waiver and Severability
No waiver by Company of any term or condition set forth in Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Company to assert a right or provision under Terms shall not constitute a waiver of such right or provision.
If any provision of Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of Terms will continue in full force and effect.
Acknowledgement
By using our Service or other services provided by us, you acknowledge that you have read these Terms of Service and agree to be bound by them.
